Central Pennsylvania Psychological Association Bylaws


Article I - Name of Organization


Section 1. The name of this organization shall be the Central Pennsylvania Psychological



Section 2. The official acronym of this organization shall be CPPA.


Article II - Purposes and Limitations


Section 1. The purposes of CPPA shall be as follows:


a. To provide opportunities for professional fellowship and the exchange of professional ideas among psychologists of the Central Pennsylvania region.

b. To foster community awareness of psychology as a distinct, helpful and professionally responsible discipline.

c. To play an active role as an organization in assisting in the resolution of issues of concern to psychologists in Central Pennsylvania.

d. To promote high standards of ethical practice among the psychologists within the organization.

e. To promote membership in and cooperation with the Pennsylvania Psychological Association and the American Psychological Association.

f. CPPA will follow all APA and PPA ethical and procedural and guidelines


Section 2. CPPA shall be nonprofit, nonpartisan and nonsectarian in its activities and endeavors. The officers of CPPA shall not be salaried.


Article III - Membership


Section 1. There shall be three classes of membership in CPPA as follows:


a. Full membership shall be available to psychologists who live or work in the Central Pennsylvania region and who meet the requirements for membership in the Pennsylvania Psychological Association or the American Psychological Association.

i. Any member who serves as an officer or as a member of a committee will be designated as a "Fellow" of the Central Pennsylvania Association at the conclusion of a year of service.

b. Associate membership shall be available for individuals meeting one or more of the following criteria:

i. Students enrolled in a graduate program in psychology as certified by their advisor. No student shall be eligible for associate membership if employed more than twenty hours per week as a psychologist.

ii. Non-student psychologists in training acquiring supervised experience in preparation for the psychology licensing examination.

iii. Persons interested and/or involved in promoting psychology in Central Pennsylvania, such interest or involvement to be judged by the Membership Committee of CPPA.

Associate members shall not have voting privileges in CPPA matters.

c. Honorary membership shall be extended by the Executive Board of CPPA to acknowledge persons for their services to CPPA or for their efforts in promoting psychology in the area. Honorary members shall be exempt from dues and shall not have voting privileges in CPPA matters.


Section 2. Application for membership in CPPA shall be made to the Membership Committee. The Membership Committee shall review applications for membership and shall Notify applicants of the action taken.

Section 3. Once accepted as a member of CPPA, payment of dues each year will establish membership for that year. Revocation of membership will be automatic upon nonpayment of dues for two consecutive years.

Section 4. Membership year shall be from February to February.


Article IV Officers


Section 1. A President, President-Elect (Vice President), Secretary, and Treasurer shall be elected to a one-year term of office by the full members of CPPA. All candidates for office shall be full members of CPPA in good standing.


Section 2. The President shall have the following duties:

a. Call and chair all meetings of the Executive Committee and the membership.

b. Appoint chairpersons of standing and ad hoc committees as outlined in Article VI of these By-Laws.

c. Is an ex officio member of all committees.


Section 3. The President-Elect (Vice-President) shall have the following duties:

a. Perform all functions of the President in the event of absence or resignation of the President until the end of the President's term of office.

b. Serve as program chairperson.

c. Execute other duties as assigned by the President.


Section 4. The Secretary shall perform the following duties:

a. Record the proceedings of each meeting of the Executive Committee and the general meetings of CPPA.

b. Present the record of proceedings from the previous meeting at subsequent meetings.

c. Be responsible for maintaining records of the Executive Committee correspondence and of other CPPA business.

d. Execute other duties as assigned by the President.


Section 5. The Treasurer shall have the following duties:

a. Be responsible for all CPPA financial matters including receipt of funds and disbursement of expenditures.

b. Present a current Treasurer's Report at each meeting of the Executive Committee and the CPPA membership as well as at the request of the President or Executive Committee.

c. Prepare an annual statement of the financial condition of CPPA for presentation to the Executive Committee and the CPPA membership at the annual February meeting.

d. Prepare accounts for an audit at completion of the term of office.

e. Execute other duties as assigned by the President.

Section 6. The Past President offers advice and counsel to the Executive Committee and the general membership.

Article V - Executive Committee(Board of Directors)


Section 1. There shall be an Executive Committee (Board of Directors) of the organization consisting of the President, President-Elect, Secretary, Treasurer, Chairpersons of all standing committees and the most recent past president of the organization.


Section 2. The Executive Committee (Board of Directors) is responsible for general supervision of the affairs of the organization.


Section 3. The President shall serve as ex officio Chairperson of the Executive Committee, and the Secretary shall be Secretary of the committee.


Section 4. The Executive Committee (Board of Directors) shall be called for a physical meeting at the discretion of the President. A majority of the Executive Committee shall constitute a quorum. Any issue may be decided by a US post-office mail electronic ballot of the membership, provided that no member of the Executive Committee requests that it be referred to a physical meeting.


Section 5. All actions of the Executive Committee shall be reported to the members of the committee.


Section 6. The Executive Committee will fill vacancies occurring in offices or committee chairs.


Article VI - Committees


Section 1. The president will appoint, with approval of the Executive Committee (Board of Directors) individuals to fulfill the responsibilities listed below. There are no maximum numbers of members serving on each of the following committees. If there is no one available to serve on a committee the functions of that committee will be fulfilled by the executive committee (board of directors). The head of the committee will fulfill the responsibilities of the committee if there are no additional members other than the head of the committee. The standing committees appointed by the President are as follows:

a. The Program Committee. The purpose of this committee is planning programs for the meetings of the Association. The president-elect shall serve as chairperson of this committee.

b. The Membership Committee. The purposes of this committee are:

(1) to encourage psychologists in the area to join the Association;

(2) to keep the membership lists updated; (3) to investigate and recommend action on applications for full and associate membership.

c. The Publicity Committee. The purposes of this committee include:

(1) working toward public and professional awareness, understanding, recognition, and support of the Association's goals and programs:

(2) taking advantage of every medium of communication to inform the public and professional organizations and agencies about psychological matters;

(3) coordinating any official publications of the Association.

d. The Professional Committee. The purposes of this committee are:

(1) to serve as a legislative liaison by keeping the membership of the Association informed on legislative developments at the various governmental levels which deal with psychology;

(2) to present the Association's position on legislative issues relative to the field of psychology;

(3) to attend to other matters relating to the professional functioning of psychologists in Central Pennsylvania as directed by the Executive Committee.

e. The Nomination Committee. The purpose of this committee is to solicit nominations from the general membership and present a slate of candidates as outlined in Article VII, Section 1.

f. The Ethics Committee. The purpose of this committee is to promote awareness of ethical principles and the standards of the profession among the members of CPPA and the community.

Section 2. The chairperson of each standing committee shall appoint members of the committee.


Section 3. The Executive Committee (Board of Directors) may authorize additional ad hoc committees to fulfill specific tasks or functions as necessary. These ad hoc committees may operate through the standing committees specified under Section 1 as appropriate. Chairpersons of ad hoc committees will appoint the members of their committees.


Article VII - Election of Officers


Section 1. The Nominating Committee shall call for nominations to establish one or several members for off ice, and will present its slate of candidates to the Association by January 15th of the year. Ballots for election will be sent either via US Post Office Mail or electronically to all members, to be returned by February 15th of the year.


Section 2. The Nominating Committee shall receive and count the votes and announce the elected officers. Candidates receiving the most votes for each office shall be elected. No member may be a candidate for more than one office per year.


Section 3. The elected officers shall assume their terms of office on March 1 and terminate their terms on the last day of February of the following year.


Article VIII - Meetings


Section 1. The time and place of all general membership meetings shall be determined by the executive Committee of CPPA.


Section 2. There shall be at least one general meeting of the membership annually. The Executive Committee shall meet face -to-face at least one time annually. Committee business may be accomplished electronically outside of scheduled face-to-face meetings.


Section 3. Meetings will be conducted by Roberts Rules of Order.


Article IX Quorum


Section 1. A majority of the members is a quorum for the Executive Committee and other committees.


Section 2. A quorum for the general membership consists of at least 50% of the members qualified to vote.


Section 3. In the event that an insufficient number of members attend a general membership meeting and a quorum, therefore, is not met, the Executive Committee, after a ten minute delay, is empowered to call an on-the-spot Executive Committee meeting and act on those items scheduled for the agenda of the general membership meeting. Any action taken by the Executive Committee under these circumstances will require a two-thirds majority vote of the Executive Committee for enactment rather than the regular simple majority vote. CPPA members who are not members of the Executive Committee have the right to be heard and to recommend action to the Executive Committee at this particular type of Executive Committee meeting. Voting may also occur electronically or with paper ballots sent via US Post Office mail at times other than scheduled general meetings or Executive Committee (Board of Directors) meetings. Whether issues will be voted on at a general meeting or electronically will be at the discretion of the Executive Committee (Board of Directors).


Article X Dues


Section 1. Annual dues shall be set up by the Executive Committee of CPPA with the approval by vote of the general membership of CPPA.

Section 2. Procedures for payment of dues shall be set forth by the Executive Committee and Treasurer in a dues payment policy. This policy shall be approved by the CPPA Executive Board.


Section 3. Dues shall be payable to the Treasurer of CPPA in accordance with the current dues payment policy. Payment of dues is the responsibility of each member upon notification by the Treasurer or designee stated in the dues payment policy in force at that time.


Section 4. Those associate members who are graduate students in a related area of psychology will be eligible for a reduction of dues.


Article XI - Amendments to By-Laws


Section 1. Amendments to these By-Laws may be made by a two-thirds vote of the entire general membership to be conducted through US mail or electronically.
